Bylaws of Twin Valley Soccer Club Inc.

Article I Name 

Section 1. The official name of this organization shall be Twin Valley Soccer Club.  (Hereafter “TVSC”). 

Section 2. TVSC is a nonprofit corporation registered in the state of Pennsylvania as defined under 501 (c) 3 of the Internal Revenue Code and will take all steps necessary to maintain its nonprofit status under Pennsylvania law.

Section 3. TVSC serves but is not limited to the general area of Northern Dauphin County.

Article II Purpose

Section 1. The purpose of the TVSC shall be to promote and foster the game of soccer at the youth level in Central Pennsylvania.  TVSC shall develop, promote, and administer a youth soccer program for players, teams, coaches, referees, parents, and administrators consistent with the Bylaws.

Article III Membership 

Section 1. Membership shall consist of parents and/or guardians whose child is actively registered in TVSC, coaches, and administrators in good standing with this association.

  1. An individual with good standing is determined as one who has no outstanding league fees, actively engages in a constructive manner,  acts in the best interest of TVSC and promotion of TVSC’s purpose of promoting youth soccer, and respects all TVSC owned property.  

Section 2. Membership will not be restricted by virtue of race, sex, creed, religion, national origin, or ethnic group. 


Article IV Duties 

Section 1. The Board of Directors (hereafter “Board”) is responsible for administering TVSC matters and for enforcing the Constitution and By-Laws of TVSC. The Board may enact any and all reasonable regulations, policies, guidelines, and directives necessary to carry out assigned responsibilities. Actions by the Board shall include but are not limited to, establishing deadlines and fees, establishing and assessing fines, and other penalties.

 Section 2. Officers- The officers of TVSC and their duties shall be as follows:

  1. President - Shall preside at all Board meetings; appoint all committees subject to approval by the Board; enforce the Constitution and Bylaws and such Rules and Regulations which have been adopted by the Board; call such meetings as needed, and cast a deciding vote on all issues at which the Club Board members find themselves at an impasse; Supervise the affairs of TVSC, sign all warrants for payment of monies with the Treasurer, as needed, when same have been duly authorized; sign all contracts and documents with the Secretary when same have been duly authorized and is an ex-officio member of all committees and subcommittees of TVSC.  The President shall have the power to call special meetings of TVSC upon notice to all concerned.
  2. Vice President - Shall perform all the duties and exercise all the powers of the President during their absence, incapacity, or due to a conflict of interest.  The Vice-President shall perform any other duties as may be assigned to him or her by the Board as necessary to the success of TVSC.
  3. Secretary- Shall keep a permanent record of all proceedings of the Board; provide a written and signed copy of this record at the following general meeting to attending members; sign with the President, contracts and other documents of TVSC; record all votes through any medium of the organization, document the recorded minutes of all transactions in a formal record book. The Secretary shall perform like duties for all committees of the Board when required. The Secretary shall perform other such duties as may be prescribed by the Board, or President, under the authority of the Board or President.
  4. Treasurer- Shall deposit all monies in the name of the TVSC at such a place designated by the Board, along with other designated individuals; liquidate all bills against TVSC; report the state of finances at each monthly meeting; prepare all necessary Tax Forms; be present at registrations to collect registration fees. The Treasurer shall keep full and accurate accounts of receipts and disbursements in books belonging to TVSC and shall keep the monies of the organization in a separate account to the credit of TVSC.
  5. Registrar- Shall maintain all records of player registration and liaise with appropriate bodies to ensure accurate records are kept. The Registrar may recommend to the Board the appointment of an Assistant Registrar to assist with the registration of players.  The Assistant Registrar is approved by a majority approval of the Board.  The Registrar is required to be present at all club registrations to collect player registration forms.
  6. Sponsor Coordinator- Responsible for soliciting area businesses and organizations to sponsor TVSC teams during the Spring and Fall seasons; collection of sponsor forms and fees; distribution of sponsor gifts.  
  7. Referee Coordinator- Shall ensure TVSC has requisite referees for all TVSC games; conducts any referee training as needed; present before all games to ensure referees are prepared and equipped with the necessary referee equipment.
  8. Field and Equipment Coordinator- Shall ensure that all fields are correctly lined and set-up for regularly scheduled games, tournament games, and other events set forth by the Board; responsible for inspecting all league issued equipment for quality control and safety purposes; responsible for preparing and distributing league issued ball bags to coaches and accountable for the safe, undamaged return of TVSC equipment.

Section 3. Upon the completion of a Board member's term, all TVSC property, including but not limited to keys, files, and documents, passwords, etc., shall be turned in no more than thirty (30) days following completion of a Board member’s term.

Section 4. Board members will be present at fields on game days in order to manage, supervise and represent the best interests of TVSC. Game day times will be scheduled in shifts or entire day increments, to be determined by the Board before the season begins and adjusted on an as-needed basis.

Article V Organization 

Section 1. The business and affairs of TVSC shall be managed by the Board of Directors. The Board) shall be the representative governing authority of TVSC. The Board will conduct the business of TVSC and shall be composed of the elected officers, and other elected directors as above described. The number of directors may be modified with an amendment to TVSC Bylaws

Section 2. In addition to the powers and authorities by these Bylaws expressly conferred upon them, the Board may exercise all such powers of TVSC and do all such lawful acts and activities not expressly adopted by the Articles of Incorporation or by these Bylaws directed or required to be exercised or done by any other body.

Section 3. The Board shall be elected, by secret ballot at the Annual General Meeting (AGM).  All Board Members shall serve a one-year term. A term is defined as the month following the AGM (held the last quarter of the calendar year) and will run through the next 12 months, ending at the following AGM

Section 4. The Board shall consist of President, Vice President, Registrar, Secretary, Treasurer, Sponsor Coordinator, Field and Equipment Coordinator, and Referee Coordinator. 

Section 5. No more than one member of an immediate family may hold a board position at the same time.  

Section 6. The Board shall serve without salary for their services.  Any Board member may be reimbursed for expenses approved by a majority of the Board, less the vote of the financially interested Director.

Section 7. Expulsion - By a vote of 75% of active or current members of the Board, the Board may remove any TVSC member or Board member with cause.  Failure of any Board Member to continuously meet the Board’s membership requirements of TVSC such as regularly attending meetings, adhering to duties as stated in the Bylaws, and failing to resolve conflicts presented to the Board shall be sufficient cause for removal.

Section 8. Board Resignation- In the event of a Board member resigning, the President has the authority to appoint a replacement, which is subject to Board approval. The replacement shall fulfill the responsibilities of the replaced Board Member as stated in these Bylaws until the following AGM elections.  

Section 9. The President, with the approval of the Board, may establish committees as deemed necessary to advance the success of TVSC.

Section 10. Books and Records- TVSC, through its Board, shall keep an original, or duplicate record of the proceedings of the Board, the original, or a copy of Bylaws, including all amendments thereto to date.  TVSC shall also keep appropriate, complete, and accurate books or records of account, the records provided herein shall be kept at the registered office of TVSC as determined by the Board.  In the event that the registered office is not conducive to holding records, official records shall be held at the possession of a member of the Board, as designated by the Board

Section 11. Funds- Whenever the lawful activities of TVSC, through its Board, involve charging a fee for services, TVSC shall have the right to receive such income and, in so doing, may make an incidental profit.  All such incidental profits shall be applied to the maintenance and operation of the lawful activities of TVSC, and in no case shall be divided or distributed in any manner whatsoever among the Board, members of TVSC, or any other private individual.

Article VI Voting 

Section 1. TVSC shall be governed by its Board of Directors.  The Board is empowered to vote and act on all  TVSC matters through a majority approval of Board votes.

Section 2. Annual General Meeting - The following matters shall be voted on: election of the Board; approval of the annual budget; approval of any proposed amendments to the Bylaws; and other issues properly brought before the Board for consideration.  All TVSC members are entitled to vote at the AGM, subject to the following limitations:

  1. Members must be in good standing with the league as defined under Article IV, Section 1. Any dispute of current standing shall be brought before the Board prior to the AGM.
  2. The President shall chair the meeting and may not vote on any issue before the meeting other than the election of directors.

Section 3. Board Member nomination and voting process: Any member in good standing can nominate another member, also of good standing, for a Board position.  Nominated candidates must have a child currently enrolled in TVSC to serve on the Board.  Nominated candidates who have a child that will age out of TVSC prior to the beginning of the season are not eligible for a Board position.

The process for obtaining nominations and voting for Board positions during the AGM will be conducted as follows.

A. The current President shall conduct the nomination and voting process. 

B. Nominations for a board position will be solicited from the members attending the AGM. The nominated party will either accept or deny the nomination.

C. Once all nominations have been made, a vote by secret ballot for that position will occur if there is more than one nominee If only one member is nominated that member will be placed in that board position by default.  In the event of a tie, the tied parties will be invited back into the AGM and given an opportunity to plead their case for the position.  A re-vote will then occur. If a tie remains, the current Board has the right to assign the position as a co-position or take a vote of the current Board to determine who will fill the vacancy.

D. Board positions will be filled in the following order.

  1. President
  2. Vice President
  3. Treasurer
  4. Secretary
  5. Registrar
  6. Referee Coordinator
  7. Sponsor Coordinator
  8. Field and Equipment Coordinator

E. New Board members will take over all duties at the monthly Board meeting following the AGM.

Article VII Meetings 

Section 1. Regular Monthly Meetings - The Board shall meet once a month to discuss all club matters.

Section 2. Annual General Meeting - The AGM shall be held during the last quarter of the calendar year, at a time and place to be announced no less than two weeks prior to that meeting. 

Section 3. Special Meetings- Special meetings of the members may be called by the President or by a majority of the current Board.  

Section 4. Quorum: A majority (anything more than 50%) of the Executive Board currently in office shall constitute a quorum for the transaction of business at any meeting of TVSC.  No business shall be conducted if less than a quorum is present.

Section 5. Business from the floor:  TVSC members with issues, concerns, or recommendations shall make such to the President, in writing, one week prior to the monthly meeting.

Article VIII Age Requirements

 

Section 1. The age requirement for TVSC play shall be in accordance with those established by the Board. A birth certificate may be required upon registration, as proof of age to confirm eligibility requirements.

Article IX Conduct

Section 1. Suspensions- A player, team official, or spectator ordered from the field of play, or from the sidelines by a Referee for violent conduct, foul play, the use of foul or abusive language, or for persistent misconduct after having received a caution (yellow and/or red card, by the Referee) shall receive disciplinary action as determined by the Board.

Section 2. Any player, team official, or spectator under suspension shall not engage in TVSC sponsored events and games while the suspension is in effect.

Section 3. Penalties - In conjunction with TVSC policy, Pennsylvania Interscholastic Athletic Association (PIAA) policy, and United States Youth Soccer Association (USYSA), any player, team official, or spectator who, during the course of the game, has been ordered from the field of play, or from the sidelines by the Referee shall be suspended for one game. Action against the individual is based upon the Referee’s game report.  Penalties may be given before and after the game for unsportsmanlike conduct.

Section 4. A player, team official, or spectator who accumulates three individual cautions (yellow cards) during one season shall be suspended for one game.

Section 5. Conduct detrimental to the good and welfare- Any player, team official, officer, or spectator, whose conduct is considered to be detrimental to the good order and welfare of soccer shall be suspended for one game for the first offense and for a minimum of two games for the second offense or for any additional offenses within a two seasonal year period.  Such misconduct shall include misbehavior while a participant in or a spectator at any TVSC sanctioned event, which shall include any event involving TVSC sanctioned teams.

Section 6. Any parent and/or guardian who intentionally submits false or inaccurate information to affect a player’s registration and placement of teams shall be sanctioned at the discretion of the Board.

Section 7. The adopted Code of Conduct shall be followed.  Registration of a child(ren) to TVSC indicates consent to follow the Code set forth by the TVSC Board.  Failure to adhere to the Conduct set forth can result in cautions issued.

Article X Operations

Section 1. The TVSC shall abide by the rules of the games as determined by the USYSA and PIAA unless superseded by the TVSC Playing Guidelines and Code of Conduct.

Section 2.  TVSC coaches are designated prior to the start of each season.  All coaches are in a volunteer status and will not receive compensation for their position.  Coaches may nominate themselves for the role and are approved through a majority of the Board.  All coaches are to adhere to and promote TVSC policy, in conjunction with adopted TVSC, PIAA, and USYSA rules.  A coach may be removed if the coach violates TVSC policy, fails to regularly attend practices and games, or for other good cause.

Section 3. Special requests for a child with medical conditions must be made, in writing, to the Board upon registration but no later than the season’s draft day.

Section 4. TVSC players in younger divisions are assigned to teams based on automated computer generation.  The Board determines each season division metrics and which age group will be assigned to a team based on automated computer generation.  The Board may change the automated computer generation standards for each division through a majority approval by the Board.

Section 5. A draft will take place prior to each season for TVSC players in older divisions.  The draft will be conducted by TVSC approved coaches.  The Board approves each drafted team through a majority approval.  The Board may change the implementation, standards, and organization of the draft and may unilaterally move players to another team through a majority of approval.

Section 6. Such dates, as outlined, in registration material and advertised by the Club are firm and will be previously decided upon by the Board of Directors for the upcoming season.

Article XI Travel and Indoor Teams 

Section 1. Travel and indoor teams can be established based on club interest and at the discretion of the TVSC Board. Any travel or indoor team established does fall under the leadership of TVSC and therefore does follow all guidelines and codes of conduct set forth by the governing Club.

Article XII Grievances

 Grievance and Complain Procedure

Section 1. The goal of TVSC is to provide a positive experience to all the players.  TVSC understands an issue may arise that requires the attention of a Board member. These issues might involve the rules, policies, or procedures of TVSC.

TVSC has designed a Grievance Policy to provide a process whereby an individual can communicate an issue or concern for review and resolution.  Please help us by adhering to the following guidelines.

Should you have an issue with a rule, policy, or procedure:

  1. Please communicate it to your coach. Before a season begins, the Board has a meeting with the coaches. Most of the rules, policies, and procedures are communicated to your coach at that meeting. The Coach will then reach out to the specific Board member who oversees that area.
  1. Should your coach not get a clear and timely response, please send an e-mail or letter to the specific Board member who oversees that area and copy in the President. You can reach the Board members directly from the Board Page on the website.

Should you have an issue or concern with the treatment of your child (i.e. fair play issues) please use the same procedures as above.

Section 2. All grievances that need TVSC Board attention should be in writing with the facts and names of people involved. The Board will only review grievances/complaints that are in writing. Any written correspondence directed to the President will be addressed at the next TVSC meeting.

Section 3. The TVSC Board is comprised of volunteers is a Youth Sports Organization.  The Board will make decisions involving grievances in the best interest of the players and organization. All decisions of the TVSC Board shall be final.

Section 4. Grievances concerning the physical or verbal treatment of any child should be addressed to the TVSC President immediately.

XIII Amendments

By-laws may be adopted, amended, or repealed by the vote of the Board of Directors of at least a majority of the votes which all directors present are entitled to cast thereon the Annual General Meeting duly convened after notice to the directors of that purpose.

XIV Liquidation of Organization

In the event of dissolution, winding up the liquidation of these assets of the organization, the Board of Directors shall, after payment of all liabilities, dispose of all the assets of the organization exclusively for the purposes and in such manner or to such organization or organizations organized and operated exclusively for the charitable, educational, or scientific purposes as shall at the time qualify for exemption under 501(c)(3) of the Internal Revenue Code of 1954, as amended, or its successor acts. Any such disbursement shall, to the extent possible, be on a pro-rata basis to those businesses contributing sponsorships to the organization. No such disbursement shall be to any Director or other private individual.
